Gefinor is incorporated as a public limited company (société anonyme) in Luxembourg and is governed by the laws and jurisdiction of that country, a member of the European Union, in particular the law of 13th August 1915, as amended, on commercial companies and the law of 22th March 2004 on securization. The shares of the companies are listed on the Luxembourg Stock Exchange since January 1986. None of the companies of which the Company is a direct or indirect shareholder has presently any securities listed on any exchange. 

The Annual General Meeting of Shareholders is held on the 4th Thursday of June of each year. Meetings of the Board of Directors are held at regular intervals.

The Company's Corporate Governance Charter is based on the Ten Principles of Corporate Governance published in 2006 by the Luxembourg Stock Exchange, although it differs in certain respects in order to take account of the specificities of the Company.

The Company and its shareholders are subject to the Luxembourg Law on Market Abuse of May 9, 2006.
